What are OHS Sleep Center Partner’s responsibilities?
OHS Sleep will be responsible for the business plan, design, location, development and management of the sleep center facility. We do everything! OHS Sleep provides a turnkey package.

What does the partnership provide?
The sleep center partnership would provide staffing, equipment, facility, marketing, scheduling, and technical support for sleep studies.

Who would provide the professional reading of the studies?
The OHS Sleep Partnership does not practice medicine, all patients would be by physician referral only and the results of the study would be provided by an independent physician, board-certified in Sleep Medicine, to the referring physician.

What services would the partnership bill for?
The sleep center would bill only for the technical component. NOT THE professional charge!

Would the facility be accredited?
Yes, the facility will be developed and managed so that it will be eligible for Accreditation by the AASM and will therefore meet all of the AASM standards including staffing qualifications.

What would the partnership structure look like?
A joint venture partnership, Limited Liability Company (LLC) would be formed. OHS Sleep would own a minority share of the company and the physician partners and possibly a hospital would own the majority of the share.

How would profits be distributed?
Profit distributions are based on equity ownership; therefore if a physician personally owns 10% of the Sleep Center Partnership he or she would receive10% of the profits. PROFIT DISTRIBUTIONS WOULD NOT BE BASED ON REFERRALS AND WOULD NOT BE AN INDUCEMENT FOR REFERRALS.

Would the partners share in the professional services of reading the sleep studies?
The Partnership would only derive revenue from the technical fee charged per patient and would not be party to any physician consultation or sleep study professional fees.

Would the partnership provide DME such as C-PAP?
NO! DME presents a unique set of regulatory and operational challenges.

What is the process to move forward?
Our development process is as follows:
Physicians meet with OHS Sleep executives for a 45 minute discussion centered on the need for a physician-owned sleep clinic. During the meeting, we will answer questions, review financial proforma projections and discuss a “letter of intent”. If all parties agree to proceed, a “letter of intent” will be executed and each party will contribute funds to retain the physician’s attorney. At our expense, OHS Sleep will create a business plan while the legal documents are reviewed and negotiated. Within the first 40-60 days, OHS Sleep will present the business plan including start-up capital requirements and site location options. The legal work will be complete at the same time as completion of the business plan. At that point, the Partners will make a “go” or “no go” decision. We would expect to close the transaction within a 90 day span of time.
